Key Responsibilities

Legal Advisory

• Provide legal advice to the CEO, senior management, and business units on legal and regulatory matters.
• Prepare legal opinions, advisory memoranda, and other legal documents.
• Support business units in resolving legal issues and implementing appropriate legal solutions.

Corporate Governance

• Draft, review, and prepare documentation for General Meetings of Shareholders, Board of Directors, Members' Council meetings, and other corporate governance activities.
• Ensure corporate governance documents comply with applicable laws and internal regulations.
• Support corporate secretarial and governance matters when required.

Contract Drafting & Legal Documentation

• Draft, review, negotiate, and revise contracts, agreements, authorizations, correspondence, settlement documents, and other legal instruments.
• Ensure legal documents adequately protect the Company's interests and comply with applicable laws.

Policies, Procedures & Compliance

• Develop, review, and update internal policies, procedures, and regulations.
• Conduct legal compliance reviews across business units.
• Ensure business operations comply with applicable laws, internal policies, and corporate governance requirements.

M&A and Investment Projects

• Provide legal support throughout mergers and acquisitions, including:
  • Transaction structuring
  • Legal due diligence
  • Risk assessment
  • Drafting and negotiating transaction documents
  • Managing legal closing documentation
• Advise on investment projects, including real estate, bidding, auctions, construction, and other business investments.

Risk Management & Dispute Resolution

• Identify legal risks arising from business activities.
• Recommend practical solutions to mitigate legal and compliance risks.
• Support the Company in handling disputes, complaints, litigation, and other significant legal matters involving internal and external parties.

Legal Training & Business Support

• Develop legal training materials and deliver training sessions to improve legal awareness across the organization.
• Support business teams in strengthening contract negotiation skills and reducing legal risks in commercial activities.

Qualifications

Education

• Bachelor's degree or above in Law.
• Local Bar License or equivalent professional qualification is an advantage.

Experience

• Minimum 7 years of legal experience.
• Strong experience in corporate legal advisory.
• Hands-on experience in drafting and reviewing commercial contracts.
• Experience in M&A transactions, real estate projects, and investment activities.
• Experience handling administrative procedures related to business operations.
• Litigation and dispute resolution experience is an advantage.
